Terms of Service

Effective Date: 1 July 2026

These Terms of Service are entered into by and between Textly Inc., 3540 Toringdon Way, Ste 200 Unit #5130, Charlotte, NC 28277 ("TurboHelp," "we," "us," or "our") and the entity or person that creates an account, signs an order, or uses TurboHelp.com or related services ("Customer" or "you").

TurboHelp provides an AI customer support agent platform for small SaaS teams. The AI agent may be called "Turbo" in the product.

If you use TurboHelp on behalf of a company or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use TurboHelp.

1. Agreement Structure

These Terms include and incorporate, as applicable:

  • The AI Product Terms.
  • The Data Use and Model Training Addendum.
  • The Data Processing Addendum.
  • The Product Privacy Notice.
  • The Acceptable Use Policy.
  • The No-PHI / No-HIPAA Policy.
  • Any order form, online checkout, statement of work, or written agreement that references these Terms.

If there is a conflict, the following order controls unless a signed agreement says otherwise: signed order form, Data Processing Addendum for personal data processing, AI Product Terms for AI-specific features, Data Use and Model Training Addendum for data use and model training, these Terms, and referenced policies.

2. Definitions

"Account" means Customer's TurboHelp workspace, subscription, or service environment.

"Aggregated Data" means data combined with data from other customers or sources so that it does not identify Customer, Permitted Users, End Users, or any individual.

"Anonymized Data" means data processed so that it cannot reasonably be used to identify Customer, Permitted Users, End Users, or any individual.

"Customer Data" means data, content, files, text, conversations, messages, tickets, records, and other information submitted to, generated within, or processed by TurboHelp for Customer. Customer Data includes support conversations, chat logs, messages, tickets, help center content, documents, prompts, AI Inputs, AI Outputs, user feedback, handoffs, workflow traces, resolution status, escalation reasons, and human corrections.

"Customer Properties" means Customer's websites, applications, products, help centers, support channels, and other properties where Customer uses TurboHelp.

"De-identified Data" means data derived from Customer Data after direct identifiers have been removed or transformed and reasonable safeguards are applied to avoid re-identification.

"End Users" means Customer's customers, prospects, visitors, users, or other individuals who interact with Customer or TurboHelp through Customer Properties.

"Input" means data, instructions, prompts, content, messages, files, knowledge base material, or other information submitted to AI features.

"Output" means AI-generated responses, summaries, recommendations, classifications, workflow actions, routing decisions, or other AI-generated material.

"Permitted Users" means Customer's employees, contractors, agents, and representatives whom Customer authorizes to access the Services.

"Services" means TurboHelp.com, the TurboHelp platform, Turbo agent features, APIs, SDKs, scripts, dashboards, integrations, documentation, and related services provided by TurboHelp.

"Usage Data" means technical, operational, diagnostic, telemetry, billing, security, and product-usage data relating to access to or use of the Services. Usage Data may include feature usage, event logs, performance data, browser and device data, configuration data, request counts, error data, and similar metadata.

3. Access to the Services

Subject to these Terms and the applicable order, TurboHelp grants Customer a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term for Customer's internal business purposes and to support End Users on Customer Properties.

Customer is responsible for:

  • Permitted Users' compliance with these Terms.
  • Maintaining the confidentiality of login credentials, API keys, and authentication methods.
  • Promptly removing access for anyone who no longer needs it.
  • All activity under Customer's Account, except to the extent caused by TurboHelp's breach of these Terms.
  • Configuring the Services for Customer's intended use.

TurboHelp may provide code snippets, scripts, SDKs, or APIs for deployment on Customer Properties. Customer is responsible for implementing them in accordance with documentation and applicable laws.

TurboHelp may provide free, trial, startup, preview, or evaluation access. Unless TurboHelp states otherwise in writing, free and trial access is for evaluation only, may have limited functionality, may be changed or discontinued at any time, and is provided without warranties, indemnities, service levels, or support commitments.

TurboHelp may apply usage limits, rate limits, storage limits, message limits, AI resolution limits, seat limits, API limits, or other plan limits. TurboHelp may suspend, throttle, or limit usage that exceeds applicable limits, creates security or availability risk, causes unusual cost or load, or materially exceeds expected usage for the plan.

4. Restrictions

Customer will not, and will not permit anyone else to:

  • Sell, resell, rent, lease, sublicense, or provide the Services as a stand-alone service bureau offering.
  • Reverse engineer, decompile, or seek source code or non-public APIs, except where applicable law prohibits this restriction.
  • Interfere with, overload, scan, test, or disrupt the Services or related systems without authorization.
  • Circumvent usage limits, security controls, rate limits, or access controls.
  • Use the Services to build or benchmark a competing service without TurboHelp's written permission.
  • Submit unlawful content or use the Services in violation of the Acceptable Use Policy.
  • Use the Services for high-risk, regulated, or safety-critical decisions unless TurboHelp expressly agrees in writing.

5. Customer Data

As between the parties, Customer owns raw Customer Data. TurboHelp does not claim ownership of raw Customer Data.

Customer grants TurboHelp a non-exclusive, worldwide, royalty-free right to access, process, transmit, store, analyze, display, and use Customer Data to provide, secure, support, troubleshoot, operate, analyze, and improve the Services. This includes use for search, retrieval, routing, summarization, support automation, quality review, abuse prevention, product analytics, billing, security, debugging, and customer support.

Customer is responsible for having all rights, notices, consents, permissions, and lawful bases needed to provide Customer Data to TurboHelp and permit TurboHelp to process it as described in these Terms and related policies.

6. De-identified, Anonymized, Aggregated, and Usage Data

TurboHelp may create De-identified Data, Anonymized Data, Aggregated Data, Usage Data, and derived analytics from Customer Data and use them during and after the customer relationship to operate, analyze, improve, train, fine-tune, evaluate, benchmark, secure, and support the Services and related models.

TurboHelp owns De-identified Data, Anonymized Data, Aggregated Data, Usage Data, and derived analytics that do not identify Customer, Permitted Users, End Users, or any individual.

Customer may opt out of use of Customer Data for model training as described in the Data Use and Model Training Addendum. An opt-out does not limit TurboHelp's use of Usage Data, Aggregated Data, diagnostic data, security data, billing data, or operational analytics needed to provide, secure, analyze, and improve the Services.

Unless Customer has opted out as described in the Data Use and Model Training Addendum, Customer authorizes TurboHelp to use Customer Data, including End User support conversations, Input, Output, feedback, human corrections, handoff events, workflow traces, resolution status, and escalation reasons, to train, fine-tune, evaluate, benchmark, and improve TurboHelp models and AI systems used to provide or improve the Services. This authorization is subject to applicable law, the Data Processing Addendum, and the restrictions on third-party LLM provider training in the AI Product Terms.

7. AI Features

AI features are subject to the AI Product Terms. Input and Output are Customer Data.

AI Outputs may be inaccurate, incomplete, biased, unsafe, offensive, or unsuitable for Customer's use case. Customer is responsible for deciding whether the Services are appropriate for Customer's intended use, legal obligations, risk tolerance, and End User communications. Customer is responsible for human review of Output where appropriate.

Customer must provide notices and obtain consents for AI-assisted support where required by law.

8. Third-Party Services and Integrations

Customer may connect the Services to third-party systems such as help desks, CRMs, knowledge bases, analytics tools, communication tools, identity providers, payment platforms, or AI providers. Customer is responsible for authorizing those connections and for the data Customer chooses to send to or receive from third-party services.

TurboHelp is not responsible for third-party services outside TurboHelp's control. Use of third-party services may be governed by separate terms and privacy policies.

9. Security

TurboHelp will maintain administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, loss, misuse, and alteration. Security measures may evolve over time and may vary by plan or feature.

Customer is responsible for using available security settings, limiting access to authorized Permitted Users, and configuring the Services in a way that fits Customer's risk profile.

TurboHelp does not represent that the Services are SOC 2 certified, ISO 27001 certified, HIPAA-compliant, GDPR-certified, or enterprise-ready unless a separate signed agreement or public security page expressly says so.

10. No Sensitive Regulated Data

The No-PHI / No-HIPAA Policy applies. TurboHelp is not HIPAA-compliant at launch and does not offer a Business Associate Agreement at launch. Customer must not submit Protected Health Information, medical records, diagnosis or treatment data, health insurance data, payment card data, government IDs, children's data, or other sensitive regulated data unless TurboHelp expressly agrees in writing.

11. Fees, Taxes, and Payment

Customer will pay all fees described in the applicable order, checkout flow, or plan page. Fees are non-refundable except as expressly stated in these Terms or required by law.

Customer is responsible for taxes, duties, levies, and similar governmental assessments, excluding taxes based on TurboHelp's net income. TurboHelp may suspend or downgrade access for late payment after reasonable notice, unless Customer disputes the charge in good faith.

Usage-based fees may be calculated from message volume, AI resolutions, seats, contacts, workflow runs, API calls, or other plan metrics. Customer is responsible for monitoring usage.

12. Subscription Term, Renewal, and Termination

The subscription term is stated in the applicable order or checkout flow. Unless the order says otherwise, subscriptions renew automatically for successive terms until cancelled.

Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. TurboHelp may suspend or terminate access immediately if Customer's use threatens the security, integrity, availability, legality, or reputation of the Services, or violates the Acceptable Use Policy.

Upon termination, Customer's right to use the Services ends. TurboHelp will make Customer Data available for export for a reasonable period if technically feasible and legally permitted. After that period, TurboHelp may delete Customer Data in accordance with its retention practices, except where retention is required by law, backup processes, security, dispute resolution, or legitimate business purposes.

13. Alpha and Beta Features

TurboHelp may offer alpha, beta, preview, pilot, experimental, early access, or evaluation features. These features may be incomplete, change without notice, have limited support, be discontinued, or produce unexpected results.

Alpha and beta features are provided "as is" and at Customer's risk. They may not be subject to the same commitments, security measures, retention settings, or availability levels as generally available Services unless TurboHelp states otherwise in writing.

14. Support and Availability

TurboHelp will use commercially reasonable efforts to provide support and maintain availability for paid Services. TurboHelp does not guarantee uninterrupted or error-free operation. Planned maintenance, emergency maintenance, third-party failures, internet issues, misuse, and events beyond TurboHelp's control may affect availability.

Unless a separate signed service level agreement applies, TurboHelp does not provide service credits or uptime commitments.

TurboHelp may modify, improve, discontinue, rename, or replace features from time to time. TurboHelp will use reasonable efforts to avoid materially reducing core paid functionality during a subscription term, but the Services may evolve as technology, AI models, laws, security needs, vendors, and customer needs change.

15. Ownership

TurboHelp and its licensors own the Services, software, models, interfaces, workflows, documentation, templates, designs, know-how, and related intellectual property. Customer receives only the rights expressly stated in these Terms.

Customer may provide suggestions, ideas, requests, or feedback about the Services. TurboHelp may use feedback without restriction or obligation, provided feedback is not treated as Customer Data unless it contains Customer Data.

16. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from a third party without confidentiality obligations, or required to be disclosed by law.

17. Warranties and Disclaimers

Each party represents that it has authority to enter into these Terms.

Except as expressly stated, the Services are provided "as is" and "as available." TurboHelp disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

TurboHelp does not warrant that AI Outputs will be accurate, complete, safe, unbiased, lawful for Customer's use, or suitable for any particular purpose.

18. Indemnification

Customer will defend, indemnify, and hold harmless TurboHelp from third-party claims arising from Customer Data, Customer Properties, Customer's use of the Services, Customer's violation of these Terms, or Customer's violation of law.

TurboHelp will defend Customer from third-party claims alleging that the paid Services, as provided by TurboHelp and used in accordance with these Terms, infringe a third party's intellectual property rights. TurboHelp will not be responsible for claims arising from Customer Data, Customer configurations, third-party services, modifications not made by TurboHelp, use after TurboHelp provides a non-infringing alternative, or combination with items not provided by TurboHelp.

The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation, and allow the indemnifying party to control the defense and settlement, except that no settlement may admit fault or impose non-monetary obligations without consent.

19. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption, even if advised of the possibility.

Except for excluded claims, each party's total liability under these Terms will not exceed the amounts paid or payable by Customer to TurboHelp for the Services giving rise to the claim during the twelve (12) months before the event giving rise to liability.

Excluded claims are Customer's payment obligations, misuse of the Services, confidentiality breaches, indemnification obligations, and liabilities that cannot be limited by law. Counsel should confirm whether any additional exclusions are appropriate.

20. Changes to These Terms

TurboHelp may update these Terms from time to time. Changes will be effective on the date stated in the updated version or as otherwise communicated. If a material change negatively affects Customer's rights during a paid subscription term, Customer may object within thirty (30) days after notice and stop using the affected Services. Continued use after changes become effective means Customer accepts the updated Terms.

21. Publicity

Unless Customer objects in writing, TurboHelp may identify Customer as a customer by using Customer's name and logo in customer lists, websites, pitch decks, and marketing materials. TurboHelp will follow any reasonable trademark usage guidelines Customer provides. Customer may opt out of publicity use by emailing [email protected].

22. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law rules. The state and federal courts located in Delaware will have exclusive jurisdiction unless the parties agree to arbitration or another dispute process in a signed agreement.

TurboHelp may send notices to Customer through the Services, by email, or to the contact information associated with Customer's Account.

24. General

Neither party is liable for delay or failure caused by events beyond its reasonable control. Customer may not assign these Terms without TurboHelp's consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets. TurboHelp may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

These Terms are the entire agreement between the parties for the Services and supersede prior or contemporaneous understandings on the same subject. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
